CoachSquad Terms of Service
These Terms of Service ("Terms") govern your use of the CoachSquad software application ("CoachSquad" or the "Service"), which is provided by InvisibleMatter LLC ("InvisibleMatter," "we," "us," or "our"), a limited liability company located at 2499 East Willow St., Long Beach, CA 90755, USA.
CoachSquad delivers AI-driven, persona-based coaching and instructional guidance for athletes and, where applicable, their parents or legal guardians.
By downloading, accessing, installing, or using CoachSquad on any platform (including but not limited to iOS, Android, and web browsers), you agree to be bound by these Terms.
If you do not agree to these Terms, do not access or use CoachSquad.
1. ACCEPTANCE OF TERMS
By using CoachSquad, you represent that you have read, understood, and agree to these Terms and our Privacy Policy (incorporated herein by reference). You acknowledge that these Terms constitute a legally binding agreement between you and InvisibleMatter, governing your use of CoachSquad.
2. ELIGIBILITY AND AUTHORIZED USERS
a. Age Requirements:
CoachSquad is not intended for individuals under the age of 13. If you are between 13 and 18, you may use CoachSquad only with the consent and active supervision of your parent or legal guardian. By using CoachSquad, you affirm that you are at least 13 years old or have appropriate parental consent.
b. Parental/Guardian Responsibility:
Parents or legal guardians of minors using CoachSquad are solely responsible for monitoring their child's use of the Service, understanding these Terms, and determining whether CoachSquad is appropriate for the child's needs and maturity level.
3. ACCOUNT REGISTRATION AND SECURITY
a. Account Creation:
Certain features of CoachSquad may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.
b. Account Responsibility:
You are solely responsible for maintaining the confidentiality of your account credentials, and for all activities under your account. If you suspect unauthorized use of your account, you must notify us immediately at the contact information below.
c. Account Suspension/Termination:
We reserve the right to suspend or terminate accounts at any time and for any reason, including but not limited to violations of these Terms or suspected fraudulent or harmful activity.
4. USE OF THE SERVICE
a. License:
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use CoachSquad for your personal, non-commercial purposes.
b. Prohibited Conduct:
You agree not to:
Use CoachSquad for any unlawful, unethical, or unauthorized purpose.
Engage in harassment, bullying, hate speech, or any content that is harmful or abusive.
Impersonate any person, misrepresent your identity, or provide false account details.
Attempt to access or use CoachSquad's systems, servers, or data without authorization.
Disrupt or interfere with CoachSquad's functionality, servers, or networks.
Upload any malware, viruses, or harmful code.
Reverse engineer, decompile, or otherwise attempt to derive source code from CoachSquad or its components, unless expressly permitted by law.
c. Content You Provide:
You may upload, record, or provide text, voice, images, or video content to CoachSquad (collectively, "User Content"). You grant InvisibleMatter a worldwide, royalty-free, non-exclusive license to store, process, display, and use your User Content solely for the purpose of providing and improving the Service. You represent and warrant that you own or have the necessary rights, consents, and permissions to upload or provide such User Content and that doing so will not violate any third-party rights.
d. Video Uploads and AI Analysis:
CoachSquad allows you to record or upload videos for analysis and feedback by an AI Coach. You acknowledge and agree that any individuals appearing in the videos have consented to such recording and uploading, and that you are solely responsible for obtaining such consents. You further agree that all video analysis is provided "as is" and solely for informational and educational purposes.
5. INTELLECTUAL PROPERTY
a. Ownership:
All rights, titles, and interests in and to CoachSquad and its content, including but not limited to text, graphics, logos, images, software code, and all intellectual property rights therein (collectively, "InvisibleMatter IP"), are owned by InvisibleMatter or its licensors. Except as expressly provided herein, no rights are granted to you.
b. Restrictions:
You may not copy, reproduce, distribute, modify, display, perform, or create derivative works from any InvisibleMatter IP without our prior written consent.
6. ARTIFICIAL INTELLIGENCE DISCLAIMER
a. Informational Purposes Only:
CoachSquad's AI-driven coaches are powered by third-party large language models, including but not limited to OpenAI. The guidance, feedback, and content provided by the AI coaches are intended for informational and educational purposes only. The AI outputs may contain inaccuracies, outdated information, or "hallucinations."
b. No Professional Advice:
CoachSquad's AI coaches do not constitute medical, legal, financial, or professional sports training advice. You should not rely solely on AI-generated content. Always seek the guidance of a qualified professional when making decisions related to your health, finances, training regimen, or other critical matters.
c. Assumption of Risk:
By using CoachSquad's AI features, you acknowledge and accept that reliance on AI-generated content is at your sole risk. InvisibleMatter is not responsible or liable for any injury, loss, or damage arising from such reliance.
7. PAYMENTS, FEES, AND SUBSCRIPTIONS
a. Premium Features:
Some features of CoachSquad may require payment of fees (e.g., subscriptions, in-app purchases). All payments are processed by third-party payment processors subject to their terms and conditions. We do not store or control your payment card details.
b. Refunds:
Unless required by applicable law, all fees are non-refundable. If you encounter technical issues preventing access to paid features, please contact us. We may, at our discretion, grant refunds or credits.
c. Changes in Fees:
We reserve the right to change our subscription plans, pricing, and features at any time. Changes will be communicated in advance, and your continued use of the Service after such changes takes effect constitutes your acceptance.
8. PRIVACY
Your use of CoachSquad is subject to our Privacy Policy. By using the Service, you consent to the collection, use, and disclosure of your information as described therein.
9. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COACHSQUAD IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. INVISIBLEMATTER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT COACHSQUAD WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT (INCLUDING AI-GENERATED CONTENT) WILL BE ACCURATE OR RELIABLE.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, INVISIBLEMATTER, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE COACHSQUAD, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF THE AMOUNT YOU PAID TO INVISIBLEMATTER FOR THE SPECIFIC SERVICE AT ISSUE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (USD $100).
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless InvisibleMatter, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:
Your use or misuse of CoachSquad;
Your breach of these Terms;
Your violation of any third-party rights;
Your reliance on AI-generated content or any information obtained through CoachSquad.
12. TERMINATION
We may terminate or suspend your access to CoachSquad, at our sole discretion, at any time and without notice, for any reason including but not limited to violation of these Terms. Upon termination, all licenses granted herein immediately terminate.
13. GOVERNING LAW AND DISPUTE RESOLUTION
a. Governing Law:
These Terms and your use of CoachSquad shall be governed by the laws of the State of California, USA, without regard to conflicts of laws principles.
b. Arbitration:
Any dispute arising from or relating to these Terms or CoachSquad shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles County, California, and shall be conducted in English. Each party is responsible for its own costs and attorneys' fees.
c. No Class Actions:
You agree to resolve disputes with InvisibleMatter on an individual basis, and that any claims brought under these Terms will be brought solely in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
14. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. We will provide notice of significant changes (e.g., by posting an update within CoachSquad or on our website). Your continued use of CoachSquad after changes become effective constitutes your acceptance of the revised Terms.
15. SEVERABILITY
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
16. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any additional terms and conditions incorporated by reference, constitute the entire agreement between you and InvisibleMatter relating to the subject matter herein and supersede all prior agreements, negotiations, and understandings, whether oral or written.

By using CoachSquad, you acknowledge that you have read, understood, and agree to these Terms in their entirety. If you do not agree, discontinue use immediately.
